Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the website and marketplace platform (the “Platform”) operated under the brand “me-you-us” by Capital Flow For Good (Pty) Ltd (the “Company”, “we”, “us” or “our”), a private company (Pty Ltd) incorporated in the Republic of South Africa, registration number 2026/347064/07. By creating an account or using the Platform, you agree to these Terms.
1. Nature of the Platform
The Platform is a software-as-a-service (SaaS) marketplace designed to help registered, independent civil-society organisations connect with voluntary donors. The Company is a technology provider and commercial fundraiser. We are not a financial institution, credit provider, aggregator or payment processor.
We do not collect, hold, pool or manage charitable funds at any point. All transactions are processed by our licensed third-party payment gateway (see clause 6), which routes each donor’s payment directly to the chosen beneficiary organisation and to the Company according to the split described in these Terms.
2. Acceptance of these Terms
By accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Platform.
3. Eligibility
By registering an account or making a donation, you warrant that you are at least 18 years of age or possess the legal consent of a parent or guardian to use this Platform. You also warrant that the information you provide is accurate and that you are legally able to enter into these Terms.
4. Your account
- You are responsible for keeping your login credentials confidential and for all activity under your account.
- You must provide accurate registration information and keep it up to date.
- You must notify us promptly of any unauthorised use of your account.
- We may suspend, lock or terminate an account that breaches these Terms or where we reasonably suspect misuse or a security risk.
5. Beneficiary organisations
The Platform connects donors with vetted, registered non-profit entities (each a “beneficiary organisation”) that govern or are affiliated with the protected area associated with a project — for example, the authority responsible for a particular national park.
- When you donate, you choose a specific beneficiary organisation, and your donation forms a contract between you and that organisation. The Company facilitates the transaction and provides the technology; it is not a party to your donation to the beneficiary.
- We do not host generic or individual fundraising campaigns. Only vetted beneficiary organisations and their associated conservation projects may receive funds through the Platform.
6. The split-payment mechanism & Merchant of Record
To ensure transparency and regulatory compliance, all financial transactions on the Platform are processed dynamically by our licensed third-party payment gateway partner, Paystack. After the payment gateway’s own service fees have been deducted, the transaction value is split at the network layer into two portions:
- The beneficiary share. A share of the transaction value is routed instantly by the payment gateway to the specific beneficiary organisation chosen by the donor. For this portion of the transaction, the beneficiary organisation acts as the sole legal Merchant of Record.
- The platform service fee. The remaining share of the transaction value is routed instantly by the payment gateway to the Company. This represents our software licensing and technology service fee. For this portion of the transaction, the Company acts as the legal Merchant of Record. This fee is our earned revenue for operating the Platform; it is not a charitable donation, and no Section 18A tax certificate is issued in respect of it.
The proportion allocated to each portion is a commercial matter that may change from time to time. The percentages that apply to your transaction are the current rates set out on our Fees page and are disclosed to you at checkout before you confirm. By confirming a transaction, you explicitly authorise and direct the payment gateway to split the transaction amount at the network layer according to those rates. We do not receive or store your card or banking details; these are handled entirely by the payment gateway.
7. Gateway processing fees
All transactions processed through Paystack are subject to standard payment gateway network fees. Unless explicitly stated otherwise on the checkout page, these processing fees are deducted from the respective payouts proportionally, before the split described in clause 6 is applied. The applicable amounts are disclosed to you before you confirm your donation.
8. Sponsorship “squares”
Donations are made by sponsoring one or more map “squares” within a verified project area. A sponsored square is a symbolic representation of your contribution. It does not give you any ownership, lease, occupation right, or any other legal or beneficial interest in any land or property, and we do not guarantee any specific conservation outcome.
A sponsorship runs for one year from the date of your donation. If you have set up a recurring donation, it renews annually (see clause 11); otherwise it expires at the end of that year and the square becomes available for others to sponsor.
9. Vetting and KYC of beneficiary organisations
We take reasonable steps to vet the beneficiary organisations and projects onboarded to the Platform, including confirming the organisation’s registration and its association with the relevant protected area. In addition, every beneficiary organisation is independently KYC-verified (Know Your Customer) by our payment gateway before it can receive funds — an accredited financial institution separately verifies the organisation and the bank account that funds are paid into. However, vetting is not a guarantee: we do not warrant an organisation’s ongoing status, conduct, governance, or use of funds, and onboarding an organisation or project does not constitute our endorsement of it.
10. Regulatory status of beneficiaries and tax deductibility
The Platform hosts two distinct types of non-profit entity. You acknowledge that the tax treatment of your transaction depends entirely on the legal registration status of your chosen beneficiary, which is indicated on each project page:
- Public Benefit Organisations (PBOs). These entities are formally approved by the South African Revenue Service (SARS) under section 30 of the Income Tax Act, with Section 18A status. For transactions routed to these entities, our system prepares a Section 18A tax certificate on the PBO’s behalf, reflecting the beneficiary share actually received by the PBO. The Company prepares the certificate but does not itself issue it — the certificate is issued under the PBO’s own Section 18A approval.
- Non-Profit Organisations (NPOs) without PBO status. These entities are registered (for example, with the Department of Social Development) but do not hold active SARS PBO / Section 18A tax-exempt status. Transactions routed to these entities are processed as standard, non-deductible gifts. A standard payment receipt is issued. No Section 18A tax certificate is generated, and the donation cannot be claimed as a tax deduction on that basis.
We do not guarantee that any donation is tax-deductible. Whether a deduction is available depends on the beneficiary’s status and your own circumstances — please consult your tax advisor.
11. Recurring donations
If you set up a recurring (annual) donation, it will renew automatically until you cancel it. You can cancel a recurring donation at any time from your account or by contacting us. Cancellation stops future donations but does not reverse donations already made.
12. Refunds
A donation is generally irrevocable. Because the beneficiary share is routed directly to the beneficiary organisation by the payment gateway at the point of transaction, we are not able to reverse that portion of a donation once it has been processed; any request for its refund is a matter between you and the beneficiary organisation.
If you believe a payment was unauthorised, duplicated, or made in error, contact us at info@meyouus.org as soon as possible. We will provide reasonable assistance, including the transaction reference and engaging the beneficiary organisation and the payment gateway on your behalf. Nothing in this clause limits any right you may have under applicable consumer-protection law.
13. Acceptable use
You agree not to:
- Use the Platform for any unlawful, fraudulent or harmful purpose.
- Attempt to gain unauthorised access to any part of the Platform, other accounts, or our systems.
- Interfere with or disrupt the Platform, or circumvent security, rate-limiting or access controls.
- Scrape, harvest or bulk-extract data from the Platform without our written permission.
- Misrepresent your identity or impersonate any person or organisation.
14. Intellectual property
The Platform, including its content, design, trademarks, project imagery and software, is owned by us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, distribute or create derivative works from the Platform except as expressly permitted.
15. Third-party services
The Platform relies on third-party services, including our payment gateway (Paystack), our email provider, mapping services and what3words (for location addresses). By donating, you agree to the payment gateway’s applicable terms, which are presented to you at checkout. We are not responsible for the content, policies or availability of third-party services, and your use of them may be subject to their own terms.
16. Disclaimers
The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law:
- We provide the technology that connects donors and beneficiary organisations. We do not endorse any organisation or project, and we are not responsible for an organisation’s use or misuse of donations.
- We do not warrant that donations will be used for any particular purpose, or that any conservation project will achieve any particular result.
- We make no warranties, express or implied, regarding the Platform’s availability, accuracy, or fitness for a particular purpose.
This clause does not exclude any liability that cannot be excluded under South African law, including under the Consumer Protection Act 68 of 2008 where it applies.
17. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special or consequential loss, or any loss of data, profits or goodwill. Because the beneficiary share is routed directly to the beneficiary organisation and we do not hold charitable funds, our total liability arising from or in connection with any donation is limited to the platform service fee we actually received in respect of that donation. Nothing in these Terms limits liability for fraud, or for any liability that cannot lawfully be limited.
18. Indemnity
You agree to indemnify and hold us harmless against any claims, losses or costs arising from your breach of these Terms or your unlawful use of the Platform.
19. Suspension and termination
You may stop using the Platform and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Platform and its users. Provisions that by their nature should survive termination (including intellectual property, disclaimers, liability and governing law) will continue to apply.
20. Changes to these Terms
We may update these Terms from time to time. We will change the “last updated” date above and, where changes are significant, take reasonable steps to notify you. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
21. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa, and you submit to the non-exclusive jurisdiction of the South African courts. We encourage you to contact us first so we can try to resolve any dispute informally.
